Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Codivra Solutions website and, unless a separate written agreement says otherwise, the software development services we provide. By using the website or engaging our services, you agree to these Terms.

Our services

Codivra Solutions provides mobile app development, website development, custom software development, UI/UX design, cloud and DevOps, and maintenance services. The exact scope, deliverables, timeline and price of each project are set out in a written proposal, quotation or statement of work ("Proposal") that you accept before work begins.

Quotes and proposals

Quotes are valid for 30 days unless stated otherwise. Estimates are based on the information you provide; if requirements change, we'll agree any change in scope, cost or timeline with you in writing before doing the extra work.

Payments

• Unless the Proposal says otherwise, projects require an advance payment before work starts, with the balance due at the milestones listed in the Proposal.
• Invoices are payable within 7 days of issue.
• Prices exclude GST and other applicable taxes, which will be added where required.
• We may pause work on overdue accounts until payment is received.

Client responsibilities

You agree to provide content, feedback, approvals, access and accounts (such as hosting, domain and app store accounts) on time. Delays in providing these may move the delivery timeline. You're responsible for making sure the material you give us doesn't infringe anyone else's rights.

Intellectual property

• Once you've paid in full, you own the final source code, designs and deliverables created specifically for your project.
• We keep ownership of our pre-existing tools, libraries and know-how, and grant you a perpetual licence to use any parts of them included in your deliverables.
• Open-source components remain under their own licences.
• Unless you ask us not to, we may mention you as a client and show non-confidential parts of the project in our portfolio.

Confidentiality

Both parties will keep each other's confidential information private and use it only for the project. This doesn't apply to information that is public or that the law requires us to disclose.

Warranty and support

We fix bugs reported within 30 days of delivery free of charge, where they're caused by our work and the code hasn't been changed by others. Ongoing maintenance, new features and third-party changes (for example, OS or API updates) are covered by a separate support plan.

Third-party services

Projects often rely on third-party services such as hosting, payment gateways, app stores or APIs. Their availability, pricing and terms are set by those providers, and we're not responsible for their failures or changes.

Limitation of liability

To the extent permitted by law, we're not liable for indirect or consequential losses, such as lost profits, revenue or data. Our total liability for any claim relating to a project is limited to the amount you paid us for that project.

Termination

Either party may end a project with written notice. You'll pay for the work completed up to the termination date, and we'll hand over the work in progress once those payments are made.

Use of this website

You agree not to misuse the website, attempt to gain unauthorised access, or submit spam or harmful content through its forms. Website content is provided for general information only and may change without notice. All content and branding on this website belong to Codivra Solutions unless stated otherwise.

Governing law and disputes

These Terms are governed by the laws of India. We'll first try to resolve any dispute through good-faith discussion. If that fails, the courts at Sitapur, Uttar Pradesh will have exclusive jurisdiction.

We may update these Terms from time to time. The "Last updated" date at the top of this page shows when they last changed.
